1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and COYTX GLOBAL LLC (“COYTX,” “Company,” “we,” “our,” or “us”) governing your access to and use of the COYTX website, mobile applications, trading platform, APIs, products, services, and related features (collectively, the “Services”).

By accessing, registering for, or using the Services, you acknowledge and agree to be bound by these Terms, the Privacy Policy, and any additional policies published by COYTX from time to time.

If you do not agree with these Terms, you must immediately discontinue use of the Services.

To use the Services, you represent and warrant that:

• You are at least eighteen (18) years old;
• You possess full legal capacity to enter into binding agreements;
• Your use of the Services does not violate any applicable law or regulation;

• You are not using the Services on behalf of any prohibited person, organization, or jurisdiction.

COYTX reserves the right to refuse access to any individual or entity at any time and for any reason.

4. Restricted Jurisdictions

The Services are not intended for persons located in, residing in, organized in, incorporated in, or otherwise subject to the laws of jurisdictions designated by COYTX as restricted.

Restricted jurisdictions may include, without limitation:

• United States residents;
• United Kingdom residents;
• United Arab Emirates residents;
• Canada residents;
• China residents;
• Singapore residents;
• Hong Kong residents;
• Iran;
• North Korea;
• Syria;
• Cuba;
• Russia;
• Belarus;
• Afghanistan;
• Venezuela;
• Any sanctioned jurisdiction.

COYTX may modify the list of restricted jurisdictions at any time without prior notice.

Users are solely responsible for ensuring their eligibility to access the Services.

5. Account Registration

To access certain Services, users must create an account.

You agree to provide accurate, complete, and current information at all times.

You are solely responsible for:

• Maintaining the confidentiality of account credentials;
• Maintaining security of authentication devices;
• All activities conducted through your account;
• Any losses resulting from unauthorized access caused by your actions or omissions.

COYTX may refuse account registration at its sole discretion.

6. Multiple Accounts

Unless expressly prohibited by COYTX, users may maintain multiple accounts.

COYTX may, at its sole discretion:

• Link related accounts;
• Consolidate related accounts for compliance purposes;
• Restrict, suspend, or terminate multiple accounts;
• Apply trading, withdrawal, promotional, or compliance limitations across related accounts.

The Company may determine whether accounts are related based on any information available to it.

7. Compliance and Verification

COYTX reserves the unrestricted right to request identity verification and compliance documentation at any time.

The Company may require:

• Government-issued identification;
• Proof of address;
• Source of funds documentation;
• Source of wealth documentation;
• Selfies or video verification;
• Corporate ownership documentation;
• Enhanced due diligence materials;
• Any additional information deemed necessary.

COYTX may reject, suspend, delay, restrict, freeze, or terminate Services pending completion of compliance reviews.

Failure to comply with verification requests may result in account suspension, withdrawal restrictions, trading restrictions, asset freezes, or permanent account closure.

Compliance decisions are made at the sole discretion of COYTX.

8. Deposits and Withdrawals

COYTX currently supports cryptocurrency deposits and withdrawals only.

Users acknowledge that blockchain transactions may be irreversible. COYTX may delay, reject, suspend, or limit withdrawals for compliance reviews.

Users are solely responsible for wallet addresses, network selection, and transaction accuracy. COYTX shall not be liable for losses resulting from user errors, blockchain failures, incorrect wallet information, or external network conditions.

9. Spot Trading Services

COYTX provides a platform for cryptocurrency spot trading.

Users acknowledge that digital asset prices may be volatile, orders may not execute immediately, markets may become illiquid, and significant losses may occur.

COYTX does not guarantee execution of orders, availability of liquidity, continuous market operation, or accuracy of third-party market data. COYTX may suspend, limit, modify, cancel, or discontinue any trading market at any time.

10. Futures Trading and Leverage

COYTX may provide futures trading and leveraged trading products.

Users acknowledge and agree that leverage substantially increases risk, losses may exceed initial margin, positions may be liquidated automatically, and users may lose all assets deposited to their accounts.

COYTX may offer leverage up to 100x or any higher level determined by the Company. The Company may modify leverage limits, margin requirements, liquidation mechanisms, risk parameters, and futures specifications at any time without prior notice.

11. Liquidation and Risk Management

COYTX maintains risk management systems designed to protect platform stability and market integrity. Users acknowledge and agree that COYTX may automatically liquidate positions, partially liquidate positions, reduce leverage levels, increase margin requirements, or close positions without prior notice.

Liquidation may occur due to market conditions, insufficient margin, system risk controls, volatility events, or other circumstances. Users remain solely responsible for monitoring their positions and maintaining sufficient collateral.

12. Market Disruptions and Exceptional Events

COYTX reserves the right to suspend, restrict, modify, or terminate trading activity during circumstances including extreme volatility, insufficient liquidity, market manipulation, technical failures, cybersecurity incidents, or regulatory actions.

COYTX shall determine appropriate actions in its sole discretion.

13. Trade Adjustments and Cancellation Rights

COYTX reserves the right to cancel, reverse, modify, correct, reject, or void any transaction, trade, order, position, or balance adjustment if COYTX determines that a technical or pricing error, system malfunction, market manipulation, unauthorized activity, or operational mistake occurred.

Users acknowledge that transactions executed on the platform may be reviewed and corrected after execution. The determination of whether an error occurred shall be made solely by COYTX.

14. Listed Assets and Delisting

COYTX may list, suspend, restrict, remove, delist, discontinue, or otherwise modify support for any digital asset at any time and without prior notice.

Listing of any digital asset does not constitute investment advice, endorsement, recommendation, approval, or guarantee.

15. COYTX Token

COYTX may issue, support, maintain, modify, suspend, discontinue, or terminate functionalities relating to the COYTX token.

The COYTX token is not intended to represent equity ownership, shares, securities, debt instruments, or investment contracts in COYTX GLOBAL LLC. COYTX makes no guarantees regarding the future value, utility, liquidity, availability, or performance of the COYTX token.

16. Fees

Users agree to pay all applicable fees associated with use of the Services. COYTX may establish new fees, modify existing fees, introduce/remove promotional pricing, or adjust fee schedules at any time.

Continued use of the Services constitutes acceptance of applicable fees.

17. API Services

COYTX may provide application programming interfaces (“APIs”) for automated trading and related functions.

API functionality may be modified, suspended, limited, or discontinued at any time. COYTX shall not be liable for losses resulting from API failures, connectivity issues, or delayed/incorrect execution.

18. Trading Bots and Copy Trading

COYTX may provide or permit access to trading bots, copy trading tools, algorithmic trading tools, or social trading features.

All trading decisions remain the sole responsibility of the user. COYTX does not guarantee profits, returns, performance, or suitability of any strategy, trader, bot, signal, or trading system.

19. Referral Program

COYTX may establish referral, affiliate, ambassador, reward, loyalty, or promotional programs. COYTX reserves the right to modify program terms, recalculate/cancel rewards, or suspend/terminate programs at its sole discretion.

20. Suspension and Termination

COYTX may suspend, restrict, freeze, limit, disable, close, or terminate any account, transaction, asset, service, feature, or activity at any time and for any reason. COYTX shall have no obligation to disclose the basis for its decisions.

21. No Investment Advice

The Services are provided solely as a technology platform. COYTX does not provide investment, financial, tax, accounting, or legal advice.

No information made available through the Services constitutes a recommendation to buy, sell, hold, or trade any asset.

22. Intellectual Property

All content, software, technology, trademarks, logos, designs, interfaces, graphics, databases, source code, and functionality are owned by COYTX, its licensors, or its affiliates and are protected by applicable intellectual property laws.

Users shall not copy, modify, reverse engineer, decompile, redistribute, or exploit any portion of the Services without prior written consent.

23. User Representations and Warranties

By using the Services, you represent, warrant, and agree that all information provided is accurate, your assets are not derived from unlawful activity, you will comply with applicable laws, and you understand the risks associated with digital assets.

24. Indemnification

You agree to defend, indemnify, and hold harmless COYTX, COYTX GLOBAL LLC, its affiliates, owners, officers, directors, employees, contractors, service providers, licensors, successors, and assigns from and against any and all claims, liabilities, damages, losses, and expenses arising out of or relating to your use of the Services or violation of these Terms.

25. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COYTX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

26. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COYTX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR DIGITAL ASSETS. COYTX'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED USD $100 OR THE TOTAL FEES PAID BY THE USER IN THE PRECEDING 12 MONTHS.

27. Force Majeure

COYTX shall not be liable for delays, failures, interruptions, losses, or inability to perform resulting from circumstances beyond its reasonable control, including natural disasters, government/regulatory actions, cyberattacks, network congestion, or validator failures.

28. Dispute Resolution and Arbitration

Any dispute, controversy, or claim arising out of or relating to the Services or these Terms shall be resolved exclusively through binding arbitration in English by a single arbitrator. The arbitrator's award shall be final and binding.

29. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, USERS AGREE THAT CLAIMS SHALL BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY. CLASS ACTIONS, COLLECTIVE ACTIONS, OR REPRESENTATIVE PROCEEDINGS ARE PROHIBITED.

30. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.

31. Electronic Communications

Users consent to receive notices, disclosures, agreements, and communications electronically, satisfying any legal requirement that such communications be provided in writing.

32. Assignment

COYTX may assign, transfer, or delegate its rights and obligations under these Terms without restriction. Users may not assign any rights or obligations without prior written consent.

33. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

34. Waiver

Failure by COYTX to enforce any provision of these Terms shall not constitute a waiver of any right or provision.

35. Amendments

COYTX reserves the right to modify, revise, replace, amend, or update these Terms at any time in its sole discretion. Continued use of the Services constitutes acceptance of revised Terms.

36. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between the parties regarding the Services and supersede all prior understandings or communications.
